Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. However, the rece ...[+++]nt financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.

Is aware that a means of assessing or supervising the way in which common minimum standards are actually applied would help to build mutual trust in the police and judicial systems of each Member State and that this lies at the heart of a common area of freedom, security and justice and will help to ensure that the system of mutual recognition functions properly: firstly, the way in which the Member States have incorporated the pr ...[+++]inciples of the common minimum standards into their national law must be monitored; secondly, the Commission must check that the national provisions incorporating the common minimum standards into the Member States" system of laws are actually applied, on the basis of statistical reports drawn up by the Member States every two years and of other information gathered by the Commission - for instance, the services of the network of independent experts on fundamental rights, which is already in place, could be used to assess the extent to which the agreed common standards on procedural safeguards are being applied and at the same time reports of non-compliance could be investigated; on those bases the Commission should draw up a general report to be submitted to the European Parliament and the Council every two and a half years, in which the degree of compliance at each of the procedural levels and stages is indicated;
