L’investitore B ha il 30 per cento dei diritti di voto della partecipata, nonché un’opzione di acquisto per la metà dei diritti di voto dell’investitore A. L’opzione è esercitabile per i due anni successivi a un prezzo predeterminato che è molto al di sopra del valore di mercato (deep out of the money - e che si prevede rimanga tale per lo stesso periodo di due anni).
Investor B has 30 per cent of the voting rights of the investee as well as an option to acquire half of investor A’s voting rights. The option is exercisable for the next two years at a fixed price that is deeply out of the money (and is expected to remain so for that two-year period).
