Quando una società madre, in veste di socio, riceve dalla società figlia utili distribuiti, lo Stato della società deve astenersi dal sottoporre tali utili a imposizione, oppure sottoporli a imposizione, autorizzando però detta società madre a dedurre dalla sua imposta la frazione dell'imposta pagata dalla società figlia a fronte di detti utili.
