What was involved in that instance was a tax measure which provided that a new legal person resulting from the merger of two companies could take over for a limited period all or part of the losses of the merged companies and that, in the event of the partial contribution of capital to a company in the group, any losses not yet deducted before the merger could be set off, with the approval of the Minister for the Budget and within the limits of that approval, against any future profits.
Dans cette affaire, était en cause un dispositif fiscal prévoyant la possibilité pour une personne morale nouvelle issue de la fusion de deux sociétés de reprendre pour une période limitée tout ou partie du déficit des sociétés fusionnées et permettant, sur agrément du ministre chargé du budget et dans la limite de cet agrément, en cas d'apport partiel d'actifs à une société du groupe, le report des déficits non encore déduits antérieurement à la fusion sur les bénéfices ultérieurs.
