In certain matters, however, the competent authority is to be that of the Member State in which the target company has its registered office (this would be the case in matters relating to the information for employees, and also in matters relating to company law, in particular the percentage of voting rights which confers control, derogations from the obligation to launch a bid, and conditions under which the board of the offeree company may undertake any action which might result in the frustration of the offer).
